THE SOULUTIONARY BLUEPRINT PRIVATE COACHING
TERMS OF ENROLLMENT AGREEMENT

The following Terms of Enrollment Agreement govern your participation in the Program presented by Soulutionary Inc. DBA Soulutionary (“Company or We”). Please read these Terms of Enrollment carefully. By visiting and using the Program Portal Website you agree that your use of our Website, participation in our Program, and use of Program materials is governed by the following terms and conditions, together with our Terms of Service and Privacy Policy accessed on our website.

The Soulutionary Blueprint Private Coaching (“Program”) is delivered online and over video/ phone conferencing, and includes a 40 plus module video/audio program, customized mentorship, and accountability coaching. You will gain access to this support via group Mastermind Q&A calls and a private online community, so you can connect with other conscious visionaries at your level and receive strategic, high-level guidance when you need it.

What’s Included:

Private Coaching: You will receive two, one hour coaching sessions with Prema a month for 12 months via Zoom audio or video scheduled directly with Prema.
Immediate access to private community and program portal.
Immediate access to Mastermind Q&A calls (2x month) with Prema and team to get your questions answered and receive personalized mentoring.

Membership and Fees

The cost of the program is regularly $20,000 and this is a special offer of $18,000 USD to be paid in full in one payment.

We have a “No Refund” policy. No refunds will be granted at any time, or for any reason.

Should you fail to remit any of the required payments on time you will be charged a $100 late fee. If you have not corrected the situation in a prompt manner, Soulutionary may terminate further services, and you will be responsible for the remaining balance of the Program.

Content:

Program education and information is intended for a general audience and does not purport to be, nor should it be construed as, specific advice, tailored to any individual. All materials, procedures, policies, and standards, all teaching manuals, all teaching aids, all supplements and the like that have been or will be made available by the Company or its designated facilitators, or any other source, oral or written, are for personal use in or in conjunction with this training program only.

Program content is for personal use only, and may not be sold, recorded, videotaped, shared, taught, given away, or otherwise divulged without the express written consent of the Company, or its designated agent. The information contained in program material is strictly for educational purposes. Therefore, if you wish to apply ideas contained in this material, you are taking full responsibility for your actions.

We assume no responsibility for errors or omissions that may appear in any program materials. Usernames and passwords may not be shared with any third-parties.

Any violation of Company’s policies regarding content usage shall result in the immediate termination of your enrollment without refund.

Privacy & Confidentiality.

We respect your privacy and must insist that you respect the privacy of fellow Program participants. Do not to infringe any Program- participants or the Company's copyright, patent, trademark, trade secret or other intellectual property rights;

that any Confidential Information shared by Program participants or any representative of the Company is confidential and Proprietary, and belongs solely and exclusively to the Participant who discloses it or the Company;
not to disclose such information to any other person or use it in any manner other than in discussion with other Program participants during Program sessions;
that all materials and information provided to you by the Company are its confidential and proprietary intellectual property belong solely and exclusively to the Company, and may only be used by you as authorized by the Company;
the reproduction, distribution and sale of these materials by anyone but the Company is strictly prohibited;

We respect your confidential and proprietary information ideas, plans and trade secrets (collectively, "Confidential Information") and must insist that you respect the same rights of fellow Program participants and of the Company.

Thus, you agree:

that if you violate, or display any likelihood of violating, any of your agreements contained in this paragraph the Company and/or the other Program participant(s) will be entitled to injunctive relief to prohibit any such violations to protect against the harm of such violations.

While you are free to discuss your personal results from our programs and training, you must keep the experiences and statements, oral or written, of all other participants in the strictest of confidence

These are NOT included in Program:

Done-for-you services of any kind are not included.
Endorsements. You are not receiving an endorsement from Soulutionary or Prema Lee Gurreri, and neither is any other participant. Do not create the appearance of an endorsement or rely on any person who claims to be endorsed by Soulutionary.
Ownership of Written and Recorded Materials. As a participant, you will have one license to view written materials provided by Soulutionary. You do not have ownership of this information, which is protected by Federal Copyright Laws. Some of the information is also protected by a contractual license between the provider and Soulutionary. You may not copy, re-engineer, distribute, or otherwise provide access to this information to any other person, for free or paid, without express written consent of Soulutionary, which it may withhold for any reason, and purchase of a license (prices start at $6,000). Any violation of Company’s policies regarding content usage shall result in the immediate termination of your enrollment without refund.
Trademark Usage. Soulutionary protects its names! You are not receiving permission to use trade and service marks like Soulutionary, Sacred Wealth Code, Soul Success Map, Sacred Wealth Circle, Sacred Wealth Code Journey and associated logos or any other trademark of the Company, even if not listed here.
Results Not Guaranteed. You are receiving a space in the program, support and guidance, but not guaranteed results from participating in the program.

While Soulutionary is absolutely convinced that you will derive great benefits from our Soulutionary Blueprint Program and that You should become as successful as You envision, We of course cannot represent or guarantee that you will attain a certain level of sales, profits or earnings as a result of our Program. Your success depends on many factors, including your personal motivation, time commitment, how effectively you implement the strategies taught, and your efficiency in following up on each phase. The cost of this Program is an “investment” in yourself and, as with any investment, there is both great potential for a great return on your investment, and a risk there is no return on this investment. We can guarantee, however that you WILL learn a lot of usable and translatable strategies for success that, when followed by others, have achieved life changing results.

Interactive Features

It is a condition of your use of the Site and participation in the Program that you do not:

Restrict or inhibit any other user from using and enjoying the Site.
Use the Site to impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
Interfere with or disrupt any servers or networks used to provide the Site or its features, or disobey any requirements, procedures, policies or regulations of the networks we use to provide the Site.
Use the Site to instigate or encourage others to commit illegal activities or cause injury or property damage to any person.
Gain unauthorized access to the Site, or any account, computer system, or network connected to this Site, by means such as hacking, password mining or other illicit means.
Obtain or attempt to obtain any materials or information through any means not intentionally made available through this Site.
Use the Site to post or transmit any unlawful, threatening, abusive, libelous, defamatory, obscene, vulgar, pornographic, profane or indecent information of any kind, including without limitation any transmissions constituting or encouraging conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any local, state, national or international law.
Use the Site to post or transmit any information, software or other material that violates or infringes upon the rights of others, including material that is an invasion of privacy or publicity rights or that is protected by copyright, trademark or other proprietary right, or derivative works with respect thereto, without first obtaining permission from the owner or rights holder.
Use the Site to post or transmit any information, software or other material that contains a virus or other harmful component.
Use the Site to post, transmit or in any way exploit any information, software or other material for commercial purposes, or that contains advertising.
Use the Site to advertise or solicit to anyone to buy or sell products or services, or to make donations of any kind, without our express written approval.
Gather for marketing purposes any email addresses or other personal information that has been posted by other users of the Site.

COMPANY may host Facebook groups, message boards, chats and other public forums. Any user failing to comply with the terms and conditions of this Agreement may be expelled from and refused continued access to the message boards, chats or other public forums in the future.

COMPANY or its designated agents may remove or alter any user-created content at any time for any reason. Groups, chats and other public forums are intended to serve as discussion centers for users and subscribers. Information and content posted within these public forums may be provided by COMPANY staff, COMPANY's outside contributors, or by users not connected with COMPANY, some of whom may employ anonymous user names.

COMPANY expressly disclaims all responsibility and endorsement and makes no representation as to the validity of any opinion, advice, information or statement made or displayed in these forums by third parties, nor are we responsible for any errors or omissions in such postings, or for hyperlinks embedded in any messages. Under no circumstances will we, our affiliates, suppliers or agents be liable for any loss or damage caused by your reliance on information obtained through these forums. The opinions expressed in these forums are solely the opinions of the participants, and do not reflect the opinions of COMPANY or any of its subsidiaries or affiliates.

COMPANY has no obligation whatsoever to monitor any of the content or postings on the message boards, chat rooms or other public forums on the Sites. However, you acknowledge and agree that we have the absolute right to monitor the same at our sole discretion. In addition, we reserve the right to alter, edit, refuse to post or remove any postings or content, in whole or in part, for any reason and to disclose such materials and the circumstances surrounding their transmission to any third party in order to satisfy any applicable law, regulation, legal process or governmental request and to protect ourselves, our clients, sponsors, users and visitors.

Additional Terms:

NO REFUNDS policy.
By signing this Agreement, you acknowledge that no one has represented to you that refunds are available. Even if you cannot participate for any reason, you will continue to be billed according to the schedule in Section 1 of this Agreement through the end of the Term. Soulutionary considers this policy a material inducement to entering into this Agreement, and would not have done so unless this No Refunds policy were included. If you initiate a chargeback, Soulutionary may issue an additional $500 fee to you.

Disclaimer of Warranties.
Participant understands the Program is offered on an “as-is, where-is” basis, without any implied or express warranty as to its performance or to the results that may be obtained by using the program. This limited warranty is the only express warranty made to you and is provided in lieu of any other express warranties (if any) created by any documentation.

If we get sued due to something you did:
You agree to indemnify, defend and hold harmless Soulutionary, its affiliates, successors and assigns from and against any and all claims, damages, losses, liabilities, lawsuits, costs and expenses (including attorneys’ fees at all tribunal levels) arising out of or related to any activity, work, or other thing done or permitted to be done by you where such liability arises from negligence on your part or the violation of this Agreement. This includes any liability arising from breach of confidentiality by any party.

Damages are limited under this Agreement.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COMPANY WILL NOT BE LIABLE TO YOU FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF BUSINESS, LOSS OF OPPORTUNITY COST, LOSS OF PROFITS AND THE LIKE), WHETHER BASED ON BREACH OF CONTRACT, BREACH OF WARRANTY, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EVEN IF COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. DAMAGES, INCLUDING ATTORNEY’S FEES AND COSTS, ARE LIMITED TO THE AMOUNT PAID UNDER THIS AGREEMENT.

No Professional Advice.
The Company does not engage in the rendering of services. You acknowledge that you will make your own decisions before acting on any information gained from this program. It is further understood that before you utilize any techniques suggested by this program, you should consult licensed professionals as applicable.

Participation in the program.
We are committed to providing all participants with a positive experience. Thus, COMPANY may, at its sole discretion, limit, suspend, or terminate your participation in any of its programs, live, recorded, social media-based or digital without refund or forgiveness of remaining payments if:

You become disruptive or difficult to work with;

You fail to follow the program guidelines; or,

You impair the participation of our instructors or participants in our program(s)

Washington law governs this Agreement and it will be enforced by either party in Washington state.
This Agreement will be governed by Washington state law, without regard to its conflicts of law principles. I understand and agree that I submit to the personal jurisdiction and venue of this state and agree that any legal proceeding commenced shall take place in .

No Assignment; No oral waivers or modifications.
This Agreement may not be assigned to any other party. Its requirements may not be waived or modified except in writing signed by the Company.

Electronic Signatures and Other Documents.
You agree that your electronic signature is valid and binding evidence of your assent to the terms of this Agreement. You agree to sign additional documents which may be necessary to complete the material purpose of this Agreement, including without limitation, payment authorizations.

No relationship.
The parties hereto expressly understand and agree that they are not employers or employees, principals and agents, or partners or co-venturers in the performance of each and every part of this Agreement, and they remain solely responsible for all of their respective employees and agents.

Termination.
We may also terminate services if, in our sole opinion, You are conducting yourself or your business in a manner which is disparaging or disruptive to Soulutionary or infringes upon Soulutionary or violates the confidentiality covenant stated above. In no event will any refunds be issued.

As part of my participation in the Program, I agree that Soulutionary INC. may video record, audio record, capture my likeness, voice, and statements made, on group Mastermind Q&A calls for recorded replays posted to program portal Site.

By entering into this The Soulutionary Blueprint Program Agreement, You agree to have read and understand the foregoing provisions and agree to be bound hereby.

VIP Private Coaching Program Agreement

This VIP Coaching Program Agreement is made between Soulutionary INC. a Washington corporation DBA Soulutionary (or "We") and the undersigned clients, ("You"). Soulutionary INC. and You hereby agree to the following:

You are entering into the VIP Coaching Program whereby Prema Lee Gurreri will personally provide high-level private coaching to You over a 6 month period (for the 6 month VIP Program), including one hour and a half Soul Blueprint kick off session, 11 private 60 min coaching calls, 1 group skill building/training call monthly with Prema Lee Gurreri, text or voice message support during offices hours, private Facebook group, member site access with downloadable trainings and meditations.

Limits on coaching calls: We will not schedule any coaching calls from the 24th of the month through the end of the month. Also, we are closed from December 18-30 and no calls will be scheduled during that time. We suggest you schedule yourself regular time off as well.
The cost of the 6-Month VIP Coaching program is $10,000 USD paid in full for Rikki James and 3-month VIP program is $3000 for Calandra James. Payments are not refundable for any reason. Payments are due regardless of whether or not you fully and faithfully participate.
You are responsible for the entire payment, regardless of completion of this purchased program(s). You committing to the completion of the payment plan, within the stated program time frame, and agree to be bound by these terms.. You fully understand and acknowledge that Soulutionary Inc. offers NO refunds, and acknowledge and agree to not institute any chargeback or legal proceeding for any portion of the full purchased price for this program. You agree to the no refund and no chargeback policy by signing this agreement.

We of course cannot represent or guarantee that you will attain a certain level of sales, profits or earnings as a result of our VIP Client Coaching Program. As with any small business, each owner's success depends on many factors, including your personal motivation time commitment, how effectively you implement the strategies taught, and your efficiency in following up on each phase. The cost of this Program is an "investment" in yourself as a business owner, and, as with any investment, there is both great potential for a great return on your investment, and a risk there is no return on this investment. We can guarantee, however that you WILL learn a lot of usable and translatable strategies for success that, when followed by others, have achieved Life Changing results.
You acknowledge and understand that the methods, processes and strategies taught in the VIPI Client Coaching Program constitute our Proprietary System which is confidential, and for which we claim copyright protection. We have spent considerable time and efforts in developing this Proprietary System, which includes all materials associated with the VIP Client Coaching Program, all purpose coaching strategies taught, and all associated coaching advice. You agree to maintain the absolute confidence of your VIP Client Coaching Program and agree not to duplicate, disseminate, distribute or otherwise disclose any part to any 3rd parties, for any reason, unless it is part of the VIP Client Coaching Program, or unless required by legal process. You further acknowledge that the Proprietary System and the Program(s) are and shall remain the property of Soulutionary, and that you shall not infringe upon any part of the Proprietary System or VIP Client Private Coaching Program nor claim any part as your property, not attempt to replicate or copy any part of your own competitive benefit. You further agree that your violation of this provision will cause substantial harm to Soulutionary, and for which we may seek all legal redress, which may include an injunction or substantial damages.
Should you fail to remit any of the required payments on time, and have not corrected the situation in a prompt manner, Soulutionary may terminate further services, and you will be responsible for the remaining balance of the VIP Client Coaching Program. We may also terminate services if, in our sole opinion, You are conducting yourself or your business in a manner which is disparaging or disruptive to Soulutionary or infringes upon Soulutionary or violates the confidentiality covenant stated above. In no event will any refunds be issued.
* As part of my participation in this program, (AND OTHER THAN FOR PRIVATE COACHING SESSIONS), I agree that Soulutionary INC. may video record, audio record, photograph or otherwise capture my likeness, voice, images, interviews, and statements made, and hereby assign to Soulutionary INC. all rights and title to have and to use, royalty free, any portion of my participation, for advertising and marketing purposes, documentary purposes, informational purposes, training purposes, or any other related purposes for Soulutionary.
